Terms and Conditions

General Terms and Conditions City Bible Foundation / Bible Factory
Article 1: Applicability and company details
- These general terms and conditions apply to orders and contracts between Stichting City Bible Foundation, hereinafter referred to as Citybibles / BibleFactory, and its customers. They apply to both business customers and private consumers, including customers who order through the webshop.
- A customer means any person or organisation that places an order or enters into a contract with Citybibles / BibleFactory. A consumer is an individual acting for purposes outside their trade, business or profession. A business customer is a customer acting in the course of a trade, business or profession.
- Provisions intended specifically for consumers or business customers are identified as such. The other provisions apply to all customers, insofar as they are relevant to the contract concerned. Consumers’ mandatory statutory rights are always preserved.
- The applicable general terms and conditions are made available before a webshop order is placed and, for other orders, no later than when the contract is concluded, in a form that allows the customer to save and consult them. Merely visiting or using the website does not create a purchase contract.
- The contract is governed by the version of these general terms and conditions that was made available to the customer and declared applicable before or when the contract was concluded. In the event of a conflict, individually agreed terms take precedence over these terms and conditions.
- The terms and conditions may be sent again with the invoice for information. This does not change the contract already concluded. Any additional terms for custom orders are made available separately and declared applicable before a custom order contract is concluded; they do not automatically apply to an ordinary webshop order.

Article 2: Formation of the contract
- By placing an order through the website, by email, telephone, letter or order form, the customer makes an offer to enter into a contract with Citybibles / BibleFactory.
- When placing an order through the website, the customer receives an acknowledgement by email. This only confirms receipt of the order, unless it expressly states that the order has been accepted.
- The contract is concluded when Citybibles / BibleFactory accepts the order by sending an order confirmation or delivering the ordered products.
- For digital products, acceptance may also take place by making the ordered digital content available to the customer.
- For an online order involving an obligation to pay, the wording on the order button clearly indicates this obligation.
- For a consumer distance contract, the consumer receives confirmation on a durable medium, for example by email, within a reasonable time after the contract is concluded, no later than delivery of the products or before a service begins. This includes the legally required information and the applicable terms and conditions, insofar as these have not already been provided on a durable medium.
Article 3: Withdrawal and cancellation
- Consumers may withdraw from a distance purchase without giving a reason up to 14 days after the day on which they, or a third party designated by them other than the carrier, receive the product. For a single order with products or components delivered separately, the period starts after receipt of the last product or component. Withdrawal is also possible before delivery. If the withdrawal period ends on a Saturday, Sunday or officially recognised public holiday, it ends on the next working day instead.
- The consumer may give notice of withdrawal by emailing shop@biblefactory.org, by post or by another unambiguous statement. The Model Withdrawal Form on page 7 may also be used. Use of this form is not mandatory. The notice must be sent before the withdrawal period ends.
- The consumer must return the products within 14 days after giving notice of withdrawal to:
Citybibles / BibleFactory
De Smalle Zijde 38
3903 LP Veenendaal
The Netherlands - The consumer bears the direct return costs, unless otherwise agreed. This applies only if the consumer was informed of this before purchase. For products that cannot be returned by ordinary post, the amount or a reasonable estimate of the return costs is stated in advance. If the required information is missing, Citybibles / BibleFactory pays these costs.
- Citybibles / BibleFactory refunds the payments received within 14 days after notice of withdrawal. In the event of full withdrawal, the original delivery costs are also refunded, up to the cost of the least expensive standard delivery option offered. In the event of partial withdrawal, the original delivery costs are not refunded.
- Citybibles / BibleFactory may withhold the refund until it has received the products or the consumer provides evidence that they have been returned, whichever occurs first. This delay does not apply if Citybibles / BibleFactory has offered to collect the products itself. The refund is made free of charge using the same means of payment, unless the consumer expressly agrees to a different means of payment.
- The consumer may inspect the products as they would be able to in a shop. The consumer is only liable for any reduction in value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the products, provided that the legally required information about the right of withdrawal was supplied in advance.
- The right of withdrawal does not apply to products that are not prefabricated and are made to the consumer’s individual specifications, or to clearly personalised products. Citybibles / BibleFactory states this exception before purchase. Choosing from standard options does not automatically make a product a custom product excluded from the right of withdrawal.
- Digital content not supplied on a physical medium is, in principle, subject to a withdrawal period of 14 days after the day on which the contract is concluded. For paid digital content, the right of withdrawal is lost only once performance has begun with the consumer’s prior express consent, the consumer has acknowledged that this will result in losing the right of withdrawal, and Citybibles / BibleFactory has provided the legally required confirmation.
- Statutory rights relating to defective or incorrectly supplied products or digital content remain applicable. Citybibles / BibleFactory bears the necessary return costs for a valid claim under the statutory guarantee.
- Business customers have no statutory right of withdrawal. Any other cancellation options are governed by the contract or the law.
Article 4: Prices and shipping costs
- The applicable product prices and shipping costs are communicated to the customer before the contract is concluded.
- Prices shown to consumers include VAT and other unavoidable costs that must be included in the price. Separate business quotations clearly state whether prices include or exclude VAT.
- Actual shipping costs are charged for shipping within and outside the Netherlands, unless otherwise agreed. The amount of these costs, or the calculation method if the amount cannot reasonably be determined in advance, is stated before the contract is concluded.
- Any import duties, import taxes and customs clearance charges are payable by the customer only insofar as this has been clearly communicated in advance and is permitted by law.
Article 5: Delivery and transport
- Citybibles / BibleFactory delivers the products within the agreed period. For consumers, where no other period has been agreed, delivery takes place without undue delay and no later than 30 days after the contract is concluded.
- If the customer requires delivery on a specific date, they must state this before the contract is concluded. This date becomes the agreed delivery date when Citybibles / BibleFactory has confirmed it.
- If a delay occurs or delivery proves impossible, Citybibles / BibleFactory informs the customer as soon as possible. The customer’s statutory rights in the event of late delivery remain applicable, including the right to terminate the contract and receive a refund under the conditions laid down by law. If the contract is terminated due to non-delivery, the relevant payments are refunded without undue delay. Merely stating that a product is unavailable does not end Citybibles / BibleFactory’s obligations.
- Partial shipments are possible. Additional shipping costs arising solely because Citybibles / BibleFactory decides to deliver an order in parts are not charged to the customer.
- The customer is responsible for providing correct and complete address details. Errors must be reported as soon as possible. Reasonable additional costs demonstrably resulting from incorrect details provided by the customer may be charged to the customer, insofar as permitted by law. This does not automatically result in the loss of a right to a refund.
- For consumer purchases, the risk of loss or damage during transport remains with Citybibles / BibleFactory until the consumer, or a third party designated by them other than the carrier, has received the products. The statutory exception for a carrier independently engaged by the consumer and not offered by Citybibles / BibleFactory remains applicable.
- For international business deliveries, the parties may agree on an Incoterms® rule. The applicable rule, named place or port and version are recorded in the quotation or order confirmation.
- CIF is used only for sea or inland waterway transport for which this Incoterm is suitable. Where CIF Incoterms® 2020 has been agreed, Citybibles / BibleFactory arranges and pays for transport and the required cargo insurance to the agreed port of destination. Under this rule, the transport risk passes once the goods have been delivered on board the vessel at the port of shipment. Other costs and obligations are allocated according to the agreed Incoterm.
Article 6: Payment
- Unless otherwise agreed, payment is made against an invoice. The amount due must be paid within 30 days of the invoice date.
- The customer must quote the invoice number when paying and pay the exact amount due. Statutory rights to suspend performance or set off amounts remain unaffected.
- In the event of late payment, Citybibles / BibleFactory may send a payment reminder. Statutory interest and out-of-court debt collection costs may only be charged when the legal requirements have been met.
- Once a consumer is in default, they first receive a formal payment notice, sent free of charge, allowing 14 days to pay from the day after receipt. The notice states which debt collection costs will become payable if payment is not made within that period. The debt collection costs do not exceed the statutory maximum.
- Bank details:
Account holder: BIBLE FACTORY
IBAN: NL85 INGB 0007 7999 09
BIC: INGBNL2A
Article 7: Statutory guarantee
- The products supplied must comply with the contract and meet the customer’s reasonable expectations.
- If a product does not meet these requirements, Citybibles / BibleFactory provides repair or replacement free of charge in accordance with the law. This takes place within a reasonable time and without significant inconvenience to the consumer.
- Where permitted by law, the customer is entitled to a price reduction or termination of the contract.
- The customer must report a defect as soon as possible after discovering it by emailing shop@biblefactory.org. For consumers, a report made within two months of discovery is always considered timely.
- Any additional commercial guarantee does not limit the consumer’s statutory rights.
Article 8: Retention of title
- Products supplied remain the property of Citybibles / BibleFactory until the purchase price due for them has been paid in full.
- Products supplied free of charge become the recipient’s property upon receipt.
- Retention of title does not affect the statutory rules on risk during shipping.
Article 9: Liability
- Citybibles / BibleFactory is liable, in accordance with the law, for loss or damage caused by a breach of contract for which it is legally responsible.
- For business customers, liability is limited to loss or damage that is reasonably foreseeable and would normally result from the breach concerned.
- This limitation does not apply in cases of wilful misconduct or gross negligence, to loss or damage resulting from death or personal injury, to statutory product liability, or insofar as a limitation is not permitted under mandatory law. Nor does the limitation affect obligations arising from an expressly given guarantee.
- Consumers’ statutory rights remain fully applicable.
Article 10: Personal data
- Stichting City Bible Foundation is responsible for the processing of personal data by Citybibles / BibleFactory.
- Citybibles / BibleFactory processes personal data in accordance with the General Data Protection Regulation (GDPR), to perform the contract, comply with legal obligations and fulfil other purposes explained in advance for which a valid legal basis exists.
- Personal data is treated confidentially and appropriately secured. It is not retained longer than necessary for the purposes for which it is processed, unless a statutory retention obligation requires a longer retention period.
- Personal data is shared with third parties only where a valid legal basis exists. Data processing agreements are concluded with service providers where required.
- The data subject may request access to, rectification or erasure of, restriction of the processing of, or portability of personal data by emailing shop@biblefactory.org, insofar as provided for by the GDPR. Where applicable, the data subject may also object to processing or withdraw consent previously given.
- The data subject has the right to lodge a complaint with the Dutch Data Protection Authority.
- Citybibles / BibleFactory provides further information in its privacy statement about matters including the purposes and legal bases for processing, recipients, retention periods and privacy rights. This article does not replace that full information.
Article 11: Free products and order quantities
- Products may be made available free of charge for distribution campaigns upon request. For larger quantities, the customer can contact shop@biblefactory.org.
- Citybibles / BibleFactory assesses requests on the basis of factors including availability and intended use. Before accepting a request, it may propose a smaller quantity or reject the request.
- A quantity already confirmed will not be reduced unilaterally unless there is a legal basis for doing so or the customer agrees.
- Any shipping and other costs are clearly communicated before the request is accepted.
Article 12: Design, proofs and apps
- The customer is responsible for the accuracy and completeness of files, texts, images and links supplied by them. The customer must also ensure that their agreed use does not infringe third-party rights.
- The customer carefully checks proofs before approving them. Approval relates only to aspects that could reasonably be checked in the proof.
- This approval does not constitute acceptance of subsequent production errors or deviations from the approved proof.
- Citybibles / BibleFactory remains responsible for the agreed production quality and the correct production of interactive elements, such as QR codes. The customer is responsible for the accuracy of destination links they supply and for the availability of websites under their control.
- If Citybibles / BibleFactory undertakes the management or operation of a digital element, the agreements made about this and the applicable legal obligations apply.
- Apps and other digital applications offered by Citybibles / BibleFactory are subject to the agreed functionality and the applicable legal requirements. Any limitations are clearly communicated in advance. Users’ statutory rights are not excluded merely because an application is available free of charge.
- Any duties of Citybibles / BibleFactory to check and warn remain applicable.
Article 13: Governing law and final provisions
- The contract is concluded in Dutch, unless the parties expressly agree otherwise.
- The contract is governed by Dutch law. This choice of law does not deprive a consumer of the protection of mandatory provisions of the law of the country where they habitually reside, insofar as that protection applies under the relevant rules of private international law.
- If a provision of these general terms and conditions is wholly or partly void or is annulled, the other provisions remain in force insofar as the contract can continue without that provision.
- Questions or complaints about an order may be submitted to shop@biblefactory.org or through the contact details in Article 1. The customer is asked to describe the complaint clearly and, if available, provide the order or invoice number.
- Disputes are submitted to the court that has jurisdiction under the applicable legal rules.
General Production and Delivery Terms and Conditions for Custom Printing City Bible Foundation / Bible Factory
These terms and conditions apply to the preparation, production and delivery of custom printing by Stichting City Bible Foundation, hereinafter Citybibles / BibleFactory. They supplement our general terms and conditions and apply to business customers and consumers, referred to in this document as the client.
Applicability and order of precedence are set out in Articles 27 and 25. Mandatory statutory consumer rights remain unaffected.
Article 1: Custom production
- In these terms and conditions, custom printing means printed materials produced or adapted to the client’s agreed specifications, for example with their own logo, design, introduction, text or cover.
- The agreed specifications are recorded in the quotation or order confirmation and, where applicable, detailed in the approved proof. These include the print quantity, language or translation, format, content, paper, printing and finishing.
- The use of the term custom printing does not automatically mean that a consumer has no right of withdrawal.
- The statutory exception and its conditions are set out in Article 23.
- Minor technical or visual differences between production runs are acceptable only insofar as the product supplied continues to comply with the contract and meet the client’s reasonable expectations. These are assessed in accordance with Article 26.
Article 2: Overdelivery and underdelivery
- The starting point is delivery of the agreed number of copies.
- For business orders, overdelivery or underdelivery of up to 5% may be agreed. This margin applies only if it is expressly agreed in the quotation or order before the contract is concluded, with its effect on the final price stated. An expressly agreed exact quantity takes precedence.
- Within a validly agreed margin, the quantity actually delivered is charged at the agreed unit price. Any shortfall is deducted proportionately from the invoice or, if already paid, credited and refunded. Overdelivery beyond the agreed margin results in an additional payment only if the client agrees.
- No automatic quantity tolerance applies to consumers. Additional copies are supplied for payment only if the consumer has expressly agreed to the additional quantity and its price. In the event of underdelivery, the consumer is entitled under the law to delivery of the missing quantity or, where permitted by law, a price reduction or termination of the contract. The parties may also agree on another appropriate solution.
- There is no obligation to pay for extra copies outside a validly agreed print quantity or overdelivery margin without the client’s consent.
Article 3: Paper and materials
- Thin Bible paper may be used for the main book block of Bibles and New Testaments. The agreed paper type and specifications are decisive.
- Additional pages, endpapers, introductory pages and other added sections may require a different paper type because of the production or binding method. For example, wood-free offset paper or coated paper may be used, possibly with a grammage between 80 and 135 g/m². The actual choice is agreed for each order.
- Differences in colour, thickness, texture and appearance between the book block and added components that are known in advance are explained before the contract is concluded. They are not production errors if they match the agreed terms and the client’s reasonable expectations.
- Article 13 applies to changes to the agreed material.
Article 4: Additional and personalised pages
Depending on the agreed specifications, additional texts, images and personalised content may be added as:
- pages at the beginning and/or end of the book block;
- printed endpapers at the front and/or back;
- separate sections at the front and/or back of the book.
- The number and distribution of additional pages are determined for each order. A version with, for example, 96 additional pages, divided into 48 pages at the front and 48 pages at the back, is possible only if technically feasible and agreed. The options depend on factors including the format, binding method and paper.
- Citybibles / BibleFactory selects a technically suitable production method within the agreed terms.
- Changes affecting the agreed content, sequence, appearance or functionality are discussed with the client in advance and implemented only with the client’s consent.
Article 5: Typesetting and layout
- Citybibles / BibleFactory provides careful typesetting and a layout that complies with the contract. The text must be complete, correctly ordered and readable under normal conditions.
- A minor difference in line breaks, spacing or pagination is not automatically a defect. What matters is whether the result meets the agreed quality and the reasonable expectations associated with the product.
- Missing text, incorrect text changes and other deviations from the agreed content are not considered acceptable layout differences merely because they are small in extent.
- Articles 9, 10 and 22 apply to supplied content, checking proofs and any errors.
Article 6: One-column or two-column layout
- A Bible or New Testament edition may be typeset in one or two columns. The column layout is stated before the contract is concluded or determined by reference to a clearly identified existing version.
- A fixed column layout may apply to combined production runs. Citybibles / BibleFactory informs the client of this before accepting the order.
- The choice of layout takes account of factors including language, text length, font size, format, readability and paper usage. An agreed column layout is changed only with the client’s consent.
Article 7: Page and line arrangement
- Citybibles / BibleFactory may use an efficient page layout to reduce unnecessary paper usage and production costs while maintaining the agreed quality and readability.
- As a result, a sentence, verse, paragraph or other part of the text may continue onto the next page. This is not in itself a production error if the text remains complete, correctly ordered and readable under normal conditions, and the layout complies with the contract.
- Special requirements, such as keeping particular text sections together or avoiding isolated lines at the beginning or end of a page, are discussed in advance and included in the quotation where necessary.
Article 8: Combined production runs
- In a combined production run, an order is produced together with other orders. This allows materials, layout and production capacity to be shared.
- Before the contract is concluded, Citybibles / BibleFactory states which fixed elements form part of the combined production run. These may include, for example, a standard introduction by Citybibles / BibleFactory, a fixed page layout or a particular material choice.
- A custom book block, a different introduction or other special specifications may require a separate production run. The effects on price and delivery time are communicated and agreed in advance.
- The price in the accepted quotation is decisive. General price examples or previous quotations do not automatically apply to a new order. Once the contract has been concluded, Articles 28 and 29 apply to price adjustments.
Article 9: Checking and approving proofs
If Citybibles / BibleFactory provides a digital print proof, cover proof or other proof, the client carefully checks the aspects that can reasonably be assessed in it. These include, where applicable:
- texts, spelling, names and contact details;
- the agreed language and translation;
- logos, images and cover texts;
- page counts, page order and personalised content;
- destination links and the content to which QR codes lead;
- format, positioning and layout, insofar as visible in the proof.
- A digital proof does not provide complete certainty about the final paper colour, colour reproduction, material texture or finishing. Articles 12 and 16 apply to these matters.
- After clear written or digital approval, Citybibles / BibleFactory may use the approved version for production. Failure to respond does not count as approval. A file sent later replaces the approved version only if Citybibles / BibleFactory has accepted that change.
- Errors in content supplied by the client that could reasonably have been checked in the proof may remain the client’s responsibility. However, approval does not automatically exclude all complaints and does not constitute acceptance of subsequent production errors or deviations from the approved proof.
- Citybibles / BibleFactory remains responsible for its own work, the agreed production quality and any duties to check and warn. Consumers’ statutory rights remain unaffected.
Article 10: Supplied files and interactive elements
- The client supplies all necessary texts, images, logos, translations, fonts, links and other files in full and on time, in accordance with the file submission requirements communicated in advance. The client is responsible for the accuracy of the supplied content and for the necessary usage rights.
- Citybibles / BibleFactory reports any unsuitable content, errors or ambiguities that it discovers, or should reasonably discover, when carrying out its work with due care. Content editing, translation checking or extensive technical checking is included only if agreed, without affecting statutory duties to check and warn.
- If files are unusable, Citybibles / BibleFactory requests corrected files or proposes additional work. Articles 29 and 32 apply to additional costs and effects on the schedule.
- For QR codes and other interactive elements, the client is responsible for the accuracy of destination links they supply and for websites they manage themselves. Citybibles / BibleFactory remains responsible for the agreed production and operation of the elements it supplies. If it also undertakes the management of a digital element, the agreements made for that purpose and the applicable legal obligations apply.
Article 11: Rights, licences and permission
- The client ensures that the agreed use of supplied materials is permitted. Where necessary, this includes permission to reproduce, edit, print and distribute texts, translations, images, logos and fonts.
- Citybibles / BibleFactory may request evidence of a required licence or permission before the material concerned is used. For materials supplied by Citybibles / BibleFactory itself, it is responsible for obtaining the rights needed for the agreed use.
- If required rights are missing or reasonably disputed, Citybibles / BibleFactory may suspend the relevant part of the work. It explains this and, where useful and possible, gives the client a reasonable opportunity to obtain the rights or supply replacement materials.
- Termination of the order and any charges are possible only on the basis of the contract or the law. Article 23 and the statutory rules on liability remain applicable.
Article 12: Colour reproduction and colour differences
- Colours on screens, in digital files and on office printers may differ from those of the final printed materials. A digital proof is therefore not a binding colour proof, unless expressly agreed otherwise.
- If an exact colour or a specific colour reference is essential, this is agreed before the contract is concluded. The proof, colour reference and any measurable tolerance to be used as the standard are recorded.
- Minor colour differences between copies or print runs are acceptable only if they fall within tolerances agreed in advance or, where no tolerances have been agreed, within the client’s reasonable expectations. Any agreed colour quality remains decisive.
- This provision does not exclude claims under the statutory guarantee or other rights in the event of a defective delivery.
Article 13: Changes to materials and specifications
- Citybibles / BibleFactory uses the agreed materials and finishing. If an agreed material is unavailable, it informs the client and, if necessary, proposes an alternative, explaining the effects on appearance, quality, price and delivery time.
- An alternative material is used only if it falls within a clearly agreed choice of options established in advance or the client consents to it. Citybibles / BibleFactory does not replace a specifically agreed material solely on the basis of its own view that an alternative is equivalent.
- Minor differences between material batches may be acceptable under Article 26. These differences must not result in a product that fails to comply with the contract.
- If the parties cannot agree on a necessary alternative, the original terms and the statutory remedies for non-performance apply.
- There is no automatic obligation to accept a product that differs from what was agreed.
Article 14: Trimming, folding and binding
- Industrial printing may involve minor variations in trimming, folding, sewing, gluing, positioning, spine thickness and alignment.
- Where relevant, the client receives advance information about the necessary bleed, safety margins and production tolerances. Specific tolerances are recorded in the quotation or file submission requirements.
- A minor shift is acceptable only if the result continues to comply with the contract. Text that has been cut off, missing pages, bindings that come apart or unusable interactive elements are not made acceptable by a general reference to production tolerances.
Article 15: Format, spine thickness and weight
- The agreed finished size is decisive, allowing for tolerances agreed in advance or minor variations that the client may reasonably expect from this production method.
- Spine thickness and weight may be affected by paper, binding method, moisture content and finishing. If stated values are estimates, this is clearly indicated before the contract is concluded.
- If a dimension or weight is essential, for example for a correctly fitting cover, packaging or distribution method, it is discussed and recorded in advance. An expressly agreed dimension or limit is not subsequently treated as merely indicative.
Article 16: Samples, dummies and prototypes
- When a sample, dummy or prototype is provided, the properties that can be assessed from it, such as format, material, colour or binding method, are explained.
- If the sample has been made using materials or techniques different from those of the final print run, Citybibles / BibleFactory explains the relevant limitations before the contract is concluded. If a sample is provided later, this is done before its approval.
- Properties for which a sample or prototype serves as an agreed reference form part of the agreed terms. Minor, acceptable production differences are assessed under Article 26. The mere fact that something is a sample or prototype does not remove responsibility for the agreed properties.
Article 17: Production schedule and delivery times
- The production schedule and delivery time are discussed before the contract is concluded. Where necessary, the quotation states the relevant deadlines for supplying files, approving proofs and making agreed payments.
- An expected delivery date identified as such is an estimate. An agreed delivery period or expressly accepted final delivery deadline remains binding. Stating a schedule does not remove statutory rights in the event of delay.
- For consumer purchases, delivery takes place without undue delay and no later than 30 days after the contract is concluded, unless a different delivery period has been agreed in advance.
- If a delay occurs or is foreseeable, Citybibles / BibleFactory informs the client as soon as possible of the cause and expected effects. Where required by law, it is given a reasonable additional period in which to deliver. Where the law does not require an additional period, the client may exercise their right to terminate the contract immediately.
- If the contract is validly terminated due to non-delivery, payments for the terminated part are refunded without delay. Articles 24 and 32 apply to force majeure and delays caused by the client. Article 22 applies to liability.
Article 18: Changes after approval
- Once files have been approved, materials ordered or production started, changes may no longer be possible. Citybibles / BibleFactory assesses a change request and explains what is still possible.
- If the change is feasible, its effects on specifications, price and delivery time are communicated in advance. The change is implemented only once the parties have agreed on it. Article 29 applies to additional work.
- If a requested change is not feasible or is not agreed, the original order remains in force. This does not limit any statutory right of withdrawal, termination by notice, repair or termination of the contract.
Article 19: External printers and production partners
- Citybibles / BibleFactory may engage specialist printers and other production partners in the Netherlands and abroad. It selects a suitable party, taking account of the agreed specifications and any special arrangements.
- If a particular country of production, printer or production method has been promised or agreed, this is changed only with the client’s consent.
- Engaging a production partner does not change Citybibles / BibleFactory’s obligations towards the client. The client may hold it responsible for the agreed quality and for breaches for which it is liable under the law.
Article 20: Packaging and transport
- Citybibles / BibleFactory provides packaging suitable for the agreed transport and the normal protection of the products. Special requirements, such as individual packaging, sealing, labelling or particular pallet dimensions, are agreed in advance.
- Estimates of the number of copies per box, the number of boxes per pallet, pallet dimensions and total weight may vary within reasonable limits. Firmly agreed packaging requirements remain applicable. Additional costs may be charged only on a valid basis communicated in advance.
- Minor marks affecting only the transport packaging do not automatically constitute a product defect. This applies only if the contents are undamaged and the packaging is not an agreed part of the product to be supplied. A damaged gift box or other agreed product packaging may constitute a defect.
- Article 35 applies to the risk of loss or damage during transport. Partial shipments and the associated costs are handled in accordance with Article 5 of the general terms and conditions.
Article 21: Inspection after receipt and complaints
- The client is asked to check the delivery for quantities, specifications and visible damage as soon as reasonably possible. Complaints may be submitted to shop@biblefactory.org or through the other contact details in the general terms and conditions.
- A business client must report a defect within a reasonable time after discovering it or after they should reasonably have discovered it.
- For consumers, a report made within two months of discovering a defect is always considered timely. Consumers are not required to report all defects within 14 days of delivery.
- The client describes the complaint as clearly as possible and, if available, provides the order or invoice number. Photographs or examples may be requested insofar as reasonably necessary and possible. The statutory allocation of the burden of proof remains applicable.
- Citybibles / BibleFactory is given a reasonable opportunity to investigate the complaint and, where appropriate, assess copies. The client does not have to bear necessary inspection or return costs for a valid claim under the statutory guarantee.
- A complaint about part of a print run is assessed under Articles 22 and 34.
Article 22: Guarantee, repair and liability
- The products must comply with the contract and meet the client’s reasonable expectations. Article 7 of the general terms and conditions and the applicable statutory provisions govern these requirements. This also applies to custom printing and to products for which a proof has been approved.
- In the event of a defective delivery, the client is entitled to repair or replacement free of charge in accordance with the law. This takes place within a reasonable time and without significant inconvenience to the consumer. Where permitted by law, there is a right to a price reduction or termination of the contract. Citybibles / BibleFactory cannot unilaterally replace these statutory rights solely with a voucher or compensation of its own choosing.
- Article 9 of the general terms and conditions applies to compensation for loss or damage. Citybibles / BibleFactory is liable, in accordance with the law, for loss or damage caused by a breach of contract for which it is legally responsible. For business clients, this liability is limited to loss or damage that is reasonably foreseeable and would normally result from the breach concerned.
- This limitation does not apply in cases of wilful misconduct or gross negligence, to loss or damage resulting from death or personal injury, to statutory product liability, or insofar as mandatory law prohibits a limitation. Obligations arising from an expressly given guarantee remain applicable. Consumers’ statutory rights are not limited.
Article 23: Withdrawal and cancellation of custom orders
- A consumer has no statutory right of withdrawal for the supply of products that are not prefabricated and are made to their individual specifications, or of products that are clearly personalised. This may apply, for example, to printed materials featuring their own name, logo or design. Citybibles / BibleFactory informs the consumer of any applicable exception before purchase.
- Merely choosing from standard options, such as an available language, colour or standard cover, does not automatically make a product a custom product excluded from the right of withdrawal. The actual nature of the order is decisive. Where the statutory exception for custom products does apply, it does not depend on whether production has already started.
- If a consumer does have a statutory right of withdrawal, the statutory withdrawal period and the provisions in Article 3 of the general terms and conditions remain applicable. Citybibles / BibleFactory provides the required information. Approving a proof or paying an invoice does not in itself result in the loss of this right.
- The exception for personalised goods does not automatically apply to a separately agreed design service or other service. For a consumer distance contract or off-premises contract, a withdrawal period of 14 days after the contract is concluded applies where provided for by law. Performance during that period begins only at the consumer’s express request, recorded on a durable medium such as an email where legally required. In the event of withdrawal, a proportionate amount for the service already performed may be charged only if the legal requirements have been met. For a paid service, the right of withdrawal is lost after full performance only with the required prior express consent and acknowledgement of the loss of that right.
- Business clients have no statutory right of withdrawal. Apart from a statutory right of withdrawal, termination by notice or termination of the contract, cancellation is possible if the parties agree to it.
- In the event of an agreed cancellation, any costs are explained and agreed in advance. Account is taken of work demonstrably performed, materials specially ordered and obligations that can no longer be avoided. Savings and proceeds from reuse are deducted; costs are not charged twice.
- If the law provides a right to terminate by notice, the statutory rules for the financial settlement apply. Insofar as the rules on contracts for work apply, this may mean payment of the agreed price less the savings resulting from the termination by notice, in exchange for delivery of the work already completed. Citybibles / BibleFactory explains the settlement and the relevant savings.
- The absence of a right of withdrawal does not limit statutory rights relating to defects, incorrectly supplied products or non-performance. No cancellation costs are charged for a valid exercise of those rights.
Article 24: Force majeure
- Force majeure exists only where a breach cannot be attributed to the party concerned under the law. The breach must not be due to that party’s fault, nor may it be a matter for which that party bears responsibility under the law, the agreed terms or generally accepted standards.
- Circumstances such as war, natural disasters or government measures may constitute force majeure, depending on their effect on the order. Machinery problems, material shortages, transport problems or failures by a production partner do not automatically constitute force majeure.
- The party invoking force majeure informs the other party as soon as possible of the cause, expected duration and possible alternatives. It takes reasonable measures to limit the consequences and resume performance.
- Force majeure may exclude a claim for damages insofar as the breach cannot be attributed to the party concerned. Statutory rights to terminate the contract and receive a refund remain in place. Advance payments for a validly terminated and unperformed part are refunded in accordance with the law.
Article 25: Agreed terms and order of precedence
- The quotation, accepted order and agreed specifications form the basis for performance. Agreements are preferably recorded in writing or by email. A legally valid oral agreement is not disregarded solely because it has not been confirmed in writing.
- In the event of a conflict, the following order of precedence applies, insofar as permitted by law:
- individually agreed terms for the order concerned;
- these general production and delivery terms and conditions for custom printing;
- the general terms and conditions of Citybibles / BibleFactory.
- Where these production and delivery terms and conditions expressly refer to a provision of the general terms and conditions, that provision remains applicable. This includes references concerning guarantees, liability, payment, retention of title and transport. Mandatory law always takes precedence.
- A later agreement replaces an earlier agreement only insofar as both parties have agreed to the change. A unilateral confirmation or failure to object is not in itself sufficient to establish new or different terms.
- Approval of a proof relates to the production details that can reasonably be checked in it, in accordance with Article 9. This does not automatically constitute acceptance of new payment terms, limitations of liability or other terms added afterwards.
Article 26: Assessment of quality and deviations
- When assessing printed materials, the agreed specifications, approved proof and any agreed samples are decisive to the extent that they reflect the characteristic being assessed. Account is also taken of the nature and purpose of the product and the client’s reasonable expectations.
- In addition to usability and readability, appearance, colour, finishing, durability and the operation of interactive elements may also be essential properties. The mere fact that a product is still usable does not mean that every deviation is acceptable.
- Standard production tolerances may be relied on only for limited deviations consistent with the agreed specifications. They do not provide general permission to depart from specific commitments or the agreed quality.
- If, in a consumer purchase, a specific characteristic differs from the statutory requirements based on reasonable expectations, the consumer must have been specifically informed of this when the contract was concluded and must have expressly and separately accepted that deviation, insofar as the law permits such a deviation. General acceptance of these terms and conditions is not sufficient for this purpose.
Article 27: Applicability and company details
- These general production and delivery terms and conditions apply to custom printing orders placed with Stichting City Bible Foundation, referred to in this document as Citybibles / BibleFactory, if their applicability has been agreed before the contract is concluded. They also apply to custom printing ordered through the webshop, provided they have been made available in advance and declared applicable. These custom printing terms and conditions do not apply to an order consisting solely of standard products.
- Before a custom printing contract is concluded, Citybibles / BibleFactory makes both the general terms and conditions and these production and delivery terms and conditions available to the client in a form that allows the documents to be saved and consulted. Both documents are referred to in the quotation, order or ordering process.
- Sending terms and conditions with an invoice is for information only and does not change the contract already concluded. Payment or approval of a proof alone does not make terms added afterwards applicable.
- Matters not specifically regulated here are governed by the general terms and conditions. Their provisions on personal data, governing law, complaints and the competent court remain applicable. The choice of Dutch law does not deprive a consumer of any mandatory protection to which they are entitled under the applicable rules of private international law.

Article 28: Prices and price changes
- The quotation states the price, any separate costs and the validity period of the offer. Consumer prices include VAT and other unavoidable costs that must be included in the price. Business quotations clearly state whether amounts include or exclude VAT.
- Once the contract is concluded, the agreed price remains applicable. For business orders, a price adjustment arrangement expressly agreed in advance may be applied. The grounds for any price adjustment, the calculation method and any applicable limits must be clear before the contract is concluded. Without such an agreement, a price adjustment is made only with the client’s consent, unless there is a statutory basis for adjustment.
- A fixed consumer price is not increased unilaterally because of higher material or transport costs or changes in exchange rates. Additional work requested by the consumer is agreed separately under Article 29. Legally required tax changes are applied only insofar as permitted by law.
- Shipping costs, import duties and other external costs are handled in accordance with Article 4 of the general terms and conditions and the agreed delivery terms. A cost is not automatically charged to the client merely because it is external.
Article 29: Additional work and corrections
- The agreed price is based on the agreed work, specifications and arrangements for submitting files and materials. Where necessary, the quotation states which design work, checks and correction rounds are included.
- Changes or incorrect, incomplete, late or technically unsuitable submissions may require additional work. Citybibles / BibleFactory explains in advance what work is needed and what it will cost or how the costs will be calculated. Any effects on the schedule are also communicated.
- Additional work is carried out and invoiced only after the client has agreed, unless a specific statutory exception applies. The express consent required by law is obtained for additional payments by consumers. Failure to respond to a proposal does not count as agreement.
- If extra work unexpectedly proves necessary, Citybibles / BibleFactory contacts the client first. Correcting errors for which Citybibles / BibleFactory itself is responsible is not charged as additional work.
Article 30: Payment and suspension
- Unless otherwise agreed in advance, payment is made against an invoice within 30 days of the invoice date, in accordance with Article 6 of the general terms and conditions. A different payment period or advance payment is agreed before the contract is concluded; the invoice does not introduce new payment terms.
- For business orders, a partial or full advance payment may be agreed. The amount, payment date and any effects on the start of production are recorded in advance.
- For consumer purchases, these terms and conditions do not require the consumer to pay more than 50% of the purchase price in advance. A consumer may voluntarily choose to make a higher advance payment; this choice is not made compulsory by a standard term.
- If a payment that is due remains unpaid, Citybibles / BibleFactory may suspend work or delivery insofar as permitted by law and proportionate to the payment arrears. It informs the client of the reason and the effects on the schedule. The client remains entitled to validly exercise statutory rights to suspend performance or set off amounts.
- Additional costs resulting from a justified suspension may be charged only if there is a legally valid basis. The costs must be reasonable, demonstrable and attributable to the client.
- Article 6 of the general terms and conditions applies to payment reminders, interest and debt collection costs. Before out-of-court debt collection costs can become payable, consumers receive a formal payment notice, sent free of charge, allowing the legally required period for payment.
Article 31: Retention of title
- Products supplied remain the property of Citybibles / BibleFactory until the purchase price due for them has been paid in full, in accordance with Article 8 of the general terms and conditions.
- While retention of title applies, the client may not pledge the products or transfer them to third parties as security.
- Products supplied free of charge become the recipient’s property upon receipt. Retention of title does not affect the statutory or validly agreed rules on risk during transport.
Article 32: Delays caused by the client
- The client provides the necessary files, information, licences and approvals within the agreed deadlines and makes agreed payments on time.
- If necessary information or actions are missing, Citybibles / BibleFactory states what is still needed and what effect this may have on the schedule. Where reasonable and possible, it gives the client an opportunity to remedy the failure within an appropriate period.
- A delay demonstrably caused by the client may lead to a reasonable adjustment of the schedule. Citybibles / BibleFactory limits the effects where possible and informs the client of the revised schedule. Earlier delivery arrangements do not automatically cease to apply in their entirety.
- Additional costs may be charged only on a legally valid basis and insofar as they are reasonable, demonstrable and attributable to the client. Article 29 applies to additional work. Statutory rights and obligations remain applicable.
Article 33: Unclear or conflicting instructions
- The client provides clear, complete and timely instructions. Citybibles / BibleFactory requests clarification if it identifies, or should reasonably identify, ambiguities or inconsistencies.
- The client checks those aspects of quotations, order confirmations and proofs that they can reasonably assess. Any inaccuracies or ambiguities identified are reported as soon as possible.
- Changes and clarifications are preferably confirmed in writing or by email. Article 25 applies to the validity and order of precedence of agreements.
- Responsibility for an error is assessed on the basis of the agreed terms, the cause of the error and the statutory obligations of both parties. Unclear instructions do not provide a general exclusion of Citybibles / BibleFactory’s own duties to check, exercise care or warn.
Article 34: Assessment of a print run
- In the event of a complaint about a larger print run, a representative sample may be used insofar as appropriate to the nature of the possible defect. Where necessary, the scope and method of inspection are discussed with the client.
- A defect in a few copies does not automatically mean that the entire print run is defective. Conversely, a number of satisfactory copies does not prove that the entire print run complies with the contract.
- An appropriate solution may be limited to the affected part if that adequately remedies the breach. The relationship between the parts of the order and the agreed use are taken into account. Statutory rights to repair, replacement, a price reduction or full or partial termination of the contract remain applicable.
- Sampling does not replace statutory rules of evidence and does not exclude the reporting of defects discovered later.
Article 35: Risk during transport
- For consumer purchases, the risk of loss or damage during transport remains with Citybibles / BibleFactory until the consumer, or a third party designated by them other than the carrier, has received the products. If the consumer independently engages a carrier not offered by Citybibles / BibleFactory, the statutory exception applies: the risk passes when that carrier receives the products.
- For business deliveries, a validly agreed delivery term applies. If an Incoterms® rule is used, the rule, named place or port and version are recorded in the quotation or order confirmation. In the absence of a different agreement, the statutory rules apply.
- CIF is agreed only for business deliveries and only for sea or inland waterway transport for which this rule is suitable. Under CIF Incoterms® 2020, Citybibles / BibleFactory arranges and pays for transport and the required cargo insurance to the agreed port of destination. The transport risk passes once the goods have been delivered on board the vessel at the port of shipment. Other costs and obligations follow from the agreed Incoterm.
- The passing of risk does not remove responsibility for a party’s own breach, for example unsuitable packaging or a defect that was already present before the risk passed.
- The client is asked, where possible, to have visible transport damage noted on the delivery receipt and to report it as soon as possible. The absence of a note does not cause consumers to lose their rights. Citybibles / BibleFactory provides reasonable assistance with a transport or insurance claim; a consumer is not required to pursue a valid complaint solely with the carrier.
Article 36: Intellectual property and production files
- Intellectual property rights in designs, typesetting, templates and other materials developed by Citybibles / BibleFactory or its production partners remain with the relevant rights holder, unless a legally valid transfer or other arrangement has been agreed.
- Payment for printed materials or work does not automatically transfer copyright or create a right to receive source files, editable files, printing plates or other production tools. If such files or tools form part of the order, this is agreed in advance.
- The client receives the usage rights necessary for the agreed purpose of the work supplied, including the agreed use and distribution of the copies supplied. Further reproduction or other use is governed by the agreed licences and the law. Statutory rights of use and distribution remain unaffected.
- Rights in materials supplied by the client remain with the client or the original rights holder. Citybibles / BibleFactory and the production partners it engages may use these materials insofar as necessary and permitted to carry out the order. Any other use requires a separate valid legal basis or permission.
